Metrin Authorized Retail Partner Program Terms and Conditions

Effective Date: June 30, 2026 

These Authorized Retail Partner Program Terms and Conditions govern participation in the Metrin Authorized Retail Partner Program. 

By applying to the program, accepting approval, accessing partner pricing, placing an Authorized Retail Partner order, or purchasing Metrin products for resale, you agree to these Terms and Conditions. 

For purposes of these Terms, “Metrin,” “we,” “us,” and “our” refer to Metrin Life USA, Inc. “Partner,” “you,” and “your” refer to the approved business or individual participating in the Metrin Authorized Retail Partner Program. 

1. Program Overview 

The Metrin Authorized Retail Partner Program is an approved resale program for select retailers, skincare professionals, wellness businesses, and other approved partners who wish to purchase eligible Metrin products for resale through authorized retail channels. 

Participation in the program is by application and approval only. Approval is not guaranteed and may be accepted, declined, suspended, or terminated at Metrin’s discretion. 

2. Eligibility 

To participate in the program, you must: 

• Operate a legitimate business or approved professional practice 

• Provide accurate business, contact, tax, resale, and sales channel information 

• Be approved by Metrin before receiving partner access 

• Sell Metrin products only through approved channels 

• Comply with these Terms and all applicable laws, regulations, and professional obligations 

Metrin may request additional information before or after approval, including business verification, resale documentation, tax exemption documentation, website or storefront information, and sales channel details. 

3. Application and Approval 

Submitting an application does not guarantee approval. 

Metrin may approve or decline an application for any reason, including but not limited to brand fit, sales channel fit, customer experience concerns, territory concerns, incomplete information, prior account history, or potential conflict with existing programs or partners. 

Approved Partners may be assigned access to specific partner pricing, product assortments, order limits, or other account settings based on Metrin’s review. 

4. Authorized Sales Channels 

You may sell Metrin products only through the sales channels approved by Metrin. 

Approved channels may include physical retail locations, approved professional settings, approved business websites, or other channels authorized by Metrin in writing. 

You may not sell Metrin products through unauthorized third-party marketplaces or resale platforms, including but not limited to Amazon, Walmart Marketplace, eBay, Etsy, Facebook Marketplace, liquidation sites, auction sites, unauthorized discount sites, or any other channel not approved by Metrin. 

You may not resell Metrin products to another reseller, distributor, wholesaler, broker, liquidator, or unauthorized third party. 

5. Account Access and Partner Pricing 

Approved Partners may receive access to partner pricing through an assigned account, catalogue, discount structure, or other pricing method determined by Metrin. 

Partner pricing is confidential and may not be published, advertised, shared publicly, or disclosed to customers, competitors, unauthorized resellers, or other third parties. 

Metrin may update partner pricing, product availability, minimum order requirements, account access, order limits, or catalogue assignments at any time. 

Partner pricing applies only to approved partner purchases for authorized resale and may not be used for personal purchasing, customer rewards, affiliate commissions, unauthorized discounting, or purchases on behalf of another party. 

6. Orders, Payment, and Acceptance 

All orders are subject to acceptance by Metrin. 

Metrin may refuse, cancel, limit, or hold any order for any reason, including suspected unauthorized resale, unusual order activity, payment concerns, inventory limitations, inaccurate account information, or violation of these Terms. 

Payment terms, accepted payment methods, shipping options, and order processing timelines will be provided at checkout or through your approved partner account. 

Unless otherwise agreed in writing, orders must be paid according to the terms shown at the time of purchase. 

7. Taxes, Duties, and Resale Documentation 

You are responsible for providing accurate tax, resale, exemption, and business documentation where applicable. 

You are responsible for all applicable taxes, duties, import fees, brokerage fees, or other charges associated with your purchases, unless otherwise stated by Metrin in writing or shown at checkout. 

If you claim tax-exempt or resale status, you are responsible for ensuring that your documentation is valid, current, and applicable to your purchases. 

Metrin may suspend tax-exempt or resale treatment if documentation is incomplete, expired, invalid, or inconsistent with applicable requirements. 

8. Product Representation and Brand Standards 

You must represent Metrin products accurately and professionally. 

You may not make product claims, health claims, medical claims, ingredient claims, performance claims, guarantee claims, or result claims that have not been approved by Metrin. 

You may use only current and approved Metrin product information, descriptions, imagery, trademarks, logos, and brand assets provided or authorized by Metrin. 

You may not alter Metrin product packaging, labels, inserts, lot codes, batch codes, expiry information, ingredient information, or other product-identifying details. 

You may not repackage, relabel, bundle, sample, decant, refill, or modify Metrin products unless expressly approved by Metrin in writing. 

9. Advertising and Promotions 

Partners are responsible for ensuring that all advertising, promotional activity, product descriptions, email marketing, social media posts, website content, and customer communications comply with applicable laws and these Terms. 

You may not advertise Metrin products in a misleading, deceptive, exaggerated, or brand-damaging manner. 

You may not imply that you are owned by, operated by, employed by, or officially speaking on behalf of Metrin unless expressly authorized in writing. 

You may identify yourself as a “Metrin Authorized Retail Partner” only while your account remains approved and active. 

10. Pricing and Discounting 

Metrin may provide suggested retail pricing, promotional guidance, or brand recommendations from time to time. 

Unless Metrin adopts a separate lawful pricing or advertising policy applicable to your account, you remain responsible for setting your own resale prices in compliance with applicable law. 

However, you may not advertise or sell Metrin products in a way that damages the Metrin brand, creates customer confusion, misrepresents product value, or suggests liquidation, distress sale, counterfeit status, expired inventory, or unauthorized resale. 

Metrin reserves the right to review partner activity and may suspend or terminate accounts that engage in discounting, promotion, or advertising practices that Metrin determines are inconsistent with the program or harmful to the brand. 

11. Customer Experience 

Authorized Retail Partners are responsible for providing professional customer service to their customers. 

You are responsible for handling customer inquiries, local customer service, and any returns or exchanges arising from sales you make directly to your customers, unless otherwise agreed in writing. 

You may not direct customers to Metrin in a way that misrepresents the source of sale, return responsibility, pricing, guarantee eligibility, or customer relationship. 

Metrin’s direct-to-consumer promotions, rewards, guarantees, discounts, or customer programs may not apply to products purchased through Authorized Retail Partners unless expressly stated by Metrin. 

12. Returns and Product Condition 

Partner orders are intended for resale and may be subject to separate return, exchange, or order correction rules. 

Unless otherwise agreed in writing, Authorized Retail Partner purchases are not eligible for consumer rewards, consumer promotional discounts, consumer guarantees, or consumer return policies. 

Metrin may accept or reject return requests for partner orders at its discretion, subject to applicable law and any written return authorization provided by Metrin. 

Products must be stored, handled, and sold in a manner that preserves product quality, packaging integrity, and customer trust. 

You may not sell expired, damaged, tampered, opened, relabeled, altered, or otherwise compromised products. 

13. No Rewards, Affiliate, or Consumer Program Stacking 

Authorized Retail Partner purchases are not eligible for Metrin Rewards points, consumer loyalty benefits, consumer discount codes, affiliate commissions, referral rewards, or other consumer-facing promotional benefits unless expressly approved by Metrin in writing. 

You may not use affiliate links, referral links, consumer coupons, promotional codes, loyalty rewards, or other consumer benefits to purchase products for resale. 

If a partner also participates in another Metrin program, Metrin may determine which program terms apply to a given account, order, purchase, commission, discount, or benefit. 

14. Product Availability 

Metrin does not guarantee ongoing availability of any product, size, set, bundle, catalogue, price level, promotional offer, or packaging format. 

Products may be discontinued, reformulated, repackaged, restricted, or temporarily unavailable without notice. 

Metrin may limit quantities, backorders, preorders, or access to certain products at its discretion. 

15. Intellectual Property 

All Metrin trademarks, trade names, logos, product names, images, copy, product descriptions, packaging, educational materials, website content, and brand assets are owned by or licensed to Metrin. 

Participation in the program does not transfer any ownership rights to you. 

You may use approved Metrin brand assets only for the purpose of promoting and selling authorized Metrin products through approved channels while you remain an approved Partner. 

Upon suspension or termination of your account, you must stop using Metrin trademarks, logos, product images, and partner-identifying language unless otherwise permitted by law or approved by Metrin in writing. 

16. Confidentiality 

You agree to keep confidential all non-public information provided by Metrin, including partner pricing, catalogue access, account terms, product plans, promotional plans, business processes, training materials, and other program-related information not intended for public disclosure. 

You may not share confidential information with any unauthorized person or use it for any purpose other than participating in the program. 

17. Compliance With Laws 

You are responsible for complying with all laws and regulations applicable to your business, sales channels, marketing, customer communications, advertising, privacy practices, taxes, product resale, and professional obligations. 

You may not participate in the program or sell Metrin products in any way that violates applicable law or harms Metrin’s reputation. 

18. Suspension or Termination 

Metrin may suspend or terminate your participation in the program at any time, with or without notice, if we determine that you have violated these Terms, provided inaccurate information, engaged in unauthorized resale, misused partner pricing, harmed the brand, failed to meet program requirements, or otherwise acted inconsistently with the program. 

Upon suspension or termination, you may lose access to partner pricing, catalogue access, ordering privileges, brand assets, and the right to identify yourself as a Metrin Authorized Retail Partner. 

Termination does not affect any payment obligations, confidentiality obligations, intellectual property obligations, or other provisions intended to survive termination. 

19. No Exclusivity 

Participation in the Metrin Authorized Retail Partner Program does not create an exclusive territory, exclusive customer base, exclusive sales channel, franchise, agency, employment relationship, joint venture, distribution agreement, or ownership interest. 

Metrin may approve, decline, add, remove, or modify partner relationships at its discretion. 

20. Program Changes 

Metrin may update, modify, pause, or discontinue the Authorized Retail Partner Program, these Terms, pricing, product access, eligibility requirements, order requirements, or program benefits at any time. 

Updated Terms may be posted online, provided through your account, sent by email, or otherwise made available to you. 

Your continued participation in the program after updated Terms are made available means you accept the updated Terms. 

21. Limitation of Liability 

To the fullest extent permitted by law, Metrin will not be liable for indirect, incidental, consequential, special, punitive, or lost-profit damages arising from or related to your participation in the program, product resale, account suspension, order refusal, product availability, pricing changes, or termination of the program. 

Nothing in these Terms limits liability that cannot be limited under applicable law. 

22. Indemnification 

You agree to indemnify, defend, and hold harmless Metrin and its officers, directors, employees, contractors, affiliates, and representatives from any claims, losses, damages, liabilities, costs, or expenses arising from your business operations, resale activity, advertising, customer communications, product claims, unauthorized sales channels, violation of these Terms, or violation of applicable law. 

23. Governing Law and Jurisdiction 

These Terms are governed by the laws of British Columbia and the applicable laws of Canada, without regard to conflict of law principles. 

Any disputes arising from or related to these Terms or the Metrin Authorized Retail Partner Program will be handled in the courts located in British Columbia, Canada, unless otherwise required by applicable law.
